Billing, UVT, and Credits Policy
This Billing Policy describes how Aether AI LLC ("Aether," "we," "us") charges for the Service, how Universal Value Tokens ("UVT") are consumed, and how top-up packs and refunds work. It is incorporated into our Terms of Service by reference.
1. What a UVT Is
UVT (Universal Value Token) is the unit of billing on Aether. Every agent action, model call, and tool invocation consumes UVT in a deterministic, published amount. UVT is not a cryptocurrency, security, financial instrument, money, or investment product. It carries no monetary face value, no resale value, no interest, no transferability between accounts, and no rights of redemption for cash. UVT exists only inside your Aether account and only as a usage meter.
2. Plan Tiers and Monthly UVT
Subscription tiers (Free, Starter at US$19.99/mo, Pro at US$49.99/mo, Team at US$89.99/mo) include a monthly UVT allowance. The allowance is reset to the tier amount at each renewal date and any unused tier UVT from the prior period does not roll over. Current allowances are published at /pricing.
3. Top-Up Packs (Credits)
Top-up packs are one-time UVT purchases that add to your balance. Unlike tier UVT, pack UVT is:
- Additive — packs stack with any existing balance.
- Persistent — pack UVT does not expire and does not reset at renewal. It remains until consumed or until your account is deleted.
4. Tier-First Depletion Order
When you make a request, we deplete UVT in the following order:
- First, your current monthly tier UVT.
- Then, your accumulated top-up pack UVT.
This ordering protects your top-up balance from being burned before your monthly tier allowance is exhausted. The depletion order is enforced server-side in the billing meter.
5. Free-Tier Promotion on First Top-Up
If you are an unauthenticated lead (collected via the free-signup form) and make a first top-up pack purchase, we automatically promote your lead record to a Free-tier account at the same email address. This ensures the UVT you paid for is associated with a real Supabase account that you can sign into. You will receive a magic-link or password-set email to complete the account.
6. All Sales Final — No Refunds
We do not issue partial refunds for unused tier UVT at cancellation, for unused pack UVT at account deletion, or for service downtime. Our Service Limitation of Liability in the Terms governs any claim for damages.
7. Chargebacks and Stripe charge.refunded
Because all sales are final, we do not initiate refunds ourselves. The charge.refunded webhook event from Stripe therefore fires only when your card issuer reverses a charge through a chargeback dispute — a fraud or unauthorized-charge process governed by the card network, not by us. When a charge.refunded event is received, we perform a proportional UVT clawback from the affected account: we subtract UVT corresponding to the reversed dollar amount. The resulting balance is floored at zero (we do not push you into a negative balance). The clawback is recorded in uvt_topup_events for audit.

8. Subscription Renewal Authorization
Activating a paid plan is a continuing card-on-file authorization for Stripe to charge the agreed monthly amount on each renewal date until you cancel. We do not separately re-confirm each renewal.
9. Cancellation
- You may cancel at any time from
/platform/billing. - Cancellation takes effect at the end of the current billing period; you retain Service access through that date.
- We do not prorate or refund the remaining period.
- Unused tier UVT is forfeited at the period end.
- Top-up pack UVT remains on your account and is usable through any future plan or while on Free tier.
10. Price Changes
We may change subscription prices or top-up pack sizing with at least thirty (30) days' advance notice by email to registered users. Changes apply to your next renewal after the notice period; they never apply retroactively to a subscription period you have already paid for.
11. No Investment / Financial Advice
UVT is a billing meter and nothing more. Nothing about our pricing, UVT, packs, or any agent output constitutes investment, financial, tax, legal, or medical advice. See the Disclaimers section of our Terms of Service.
12. Taxes
Listed prices do not include sales tax, VAT, or other governmental charges. Where we are required to collect tax, Stripe will add the applicable amount at checkout and remit it on our behalf.
13. Billing Records and Retention
Subscription and top-up events are recorded in our uvt_topup_events and user_subscription_events tables. These records are retained for seven (7) years to satisfy US tax and financial recordkeeping requirements. Retention applies even after account deletion as described in our Privacy Policy.
