Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Aether AI LLC ("Aether," "we," "us," "our") governing your use of aethersystems.net, app.aethersystems.net, the AetherCloud desktop application, the AetherCloud API, and any other software or service we make available (collectively, the "Service"). By creating an account or otherwise using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Age Eligibility — 18+ Required

You must be at least eighteen (18) years of age to create an account or use the Service. Account creation requires an affirmative checkbox acknowledging that you are 18 or older. We do not knowingly collect personal information from anyone under 18. Accounts created without affirmative 18+ acknowledgement, or that we otherwise determine to belong to a person under 18, are subject to termination and data deletion in accordance with our Privacy Policy.

2. Account Responsibility

  • You are responsible for keeping your password and authentication tokens confidential.
  • You are responsible for all activity that occurs under your account.
  • You must notify us promptly at [email protected] if you suspect unauthorized access.
  • One human per account; do not share credentials.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any law or the rights of others.
  • Infringe intellectual property, including by training competing models on Aether-supplied prompts or output without our written consent.
  • Attempt to bypass authentication, RLS policies, rate limits, billing meters, UVT accounting, or any other security or quota control.
  • Generate content that is unlawful, defamatory, harassing, sexually exploitative of minors, or designed to cause harm.
  • Use the Service to send unsolicited bulk communications (spam).
  • Reverse-engineer, decompile, or extract trade secrets from the desktop application or API, except to the limited extent expressly permitted by applicable law.
  • Probe, scan, or attempt to compromise the security of the Service. Coordinated security disclosure is welcome at [email protected].

4. Service Plans and Billing

Plan tiers, monthly subscription pricing, and UVT (Universal Value Token) accounting are described in our Billing Policy. The Billing Policy is incorporated into these Terms by reference. Important consequences:

  • All purchases are final. We do not issue refunds for subscriptions or top-up packs.
  • An active paid subscription is a continuing card-on-file authorization to charge the agreed amount on each renewal until you cancel.
  • Cancellation takes effect at the end of the current billing period; no proration is provided.
  • We may change pricing with at least thirty (30) days' advance notice by email to registered users.

5. Intellectual Property

  • Our IP. The Service software, brand, designs, documentation, and underlying protocol (including the Aether Protocol family) are owned by Aether AI LLC and protected by US and international intellectual-property law. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
  • Your Content. You retain ownership of prompts and content you submit. You grant us a limited license to process that content solely to deliver the Service to you.
  • Model Output. Output generated for you by the Service is yours to use, subject to applicable third-party model licenses and any applicable law. You are responsible for verifying suitability before relying on it.

6. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Service can produce inaccurate, biased, or hallucinated output. Nothing produced by the Service constitutes legal, medical, financial, investment, tax, or other professional advice. You are solely responsible for any decision you make based on Service output.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHER, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

8. Indemnification

You agree to defend, indemnify, and hold harmless Aether and its affiliates from any claim, loss, or liability arising out of your violation of these Terms, your misuse of the Service, or your infringement of any law or third-party right.

9. Service Modifications and Termination

We may modify, suspend, or discontinue any part of the Service at any time. We may terminate or suspend your account for breach of these Terms or for suspected unlawful activity. You may close your account at any time from /platform/security. Sections that by their nature should survive termination (including IP, Disclaimers, Limitation of Liability, and Governing Law) survive.

10. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute that is not subject to arbitration under Section 11 will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction in those courts.

11. Dispute Resolution and Class-Action Waiver

Any dispute arising under these Terms will, at either party's election, be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and Aether each waive the right to bring or participate in any class action. Nothing in this Section prevents either party from seeking injunctive relief in court for infringement of intellectual-property rights.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced by email to registered users and reflected in the "Last Updated" date above. Continued use of the Service after the effective date of a change constitutes acceptance.
